Ed Sondker, Chairman

Ed Sondker has extensive experience with banks and bank holding companies, asset-based lending and factoring. He has been, and currently is, a Managing Member of Genesis Financial Services Fund, LLC since March 2004. He has also served as Chairman of Genesis Financial Consultants, Inc. since August 2002. He is a Managing Member of Foundation Participation Fund, LLC, Foundation Participation Fund 2, LLC, and Recovery 1, LLC—all funds that invest in specialty finance companies. Mr. Sondker currently serves as Chairman of Bay View Funding and is a Member of its Board of Directors. From August 1995 until March 2001, he served as the CEO and President of Bay View Capital Corporation ($5+ billion in assets) and upon the acquisition of Concord Growth Corporation, as Chairman of Bay View Commercial Finance Group (and its division, Bay View Funding). Prior to Bay View, he served as President and CEO of Independence One Bank of California, a $1 billion wholly-owned subsidiary of Michigan National Corporation. Ed also served as President and CEO of La Jolla Bank and Trust Company, a $600 million San Diego bank, and President and CEO of Kansas City Bancshares, Inc. Mr. Sondker received his Bachelor and Juris Doctorate degrees from Washburn University and is a graduate of the Northwestern University National Trust School.

Vince Narez, Vice Chairman

Vince Narez has extensive experience in the commercial accounts receivable factoring industry. A founder and former CEO, he currently serves as the Vice Chairman of Bay View Funding and is a Member of its the Board of Directors. He previously served as the President of the factoring division of Bay View Commercial Finance Group (formerly Concord Growth Corporation), from December 1997 through June 2002. Prior to this, he served as Senior Vice President responsible for underwriting and management of the company’s factoring group from January 1995 through November 1997. Vince has spent over 37 years in the financial services industry. He began his financial career with Crocker Bank in the 1970s. Thereafter he served in a variety of management positions at Riviera Finance, a nationwide small business factoring firm, before joining Bay View Funding. Vince is a graduate of San Jose State University.

Matt Carpenter, Director

Matt Carpenter has extensive experience in commercial finance and factoring. A Managing Member of Genesis Financial Services Fund, LLC since March, 2004, he has also served as President of Genesis Financial Consultants, Inc. since August 2002. He is a Managing Member of Foundation Participation Fund, LLC, Foundation Participation Fund 2, LLC, and Recovery 1, LLC—all funds that invest in specialty finance companies. Matt currently serves as Chief Financial Officer of Bay View Funding and is a Member of its Board of Directors. Prior to August 2001, he served as the COO of Bay View Capital Corporation ($5+ billion in assets), and President of Bay View Business Finance. He also served as President and CEO of Bay View Commercial Finance Group ($350 million in assets) from January 1999 until August 2001. Matt served in a variety of positions at Concord Growth Corporation, the predecessor to Bay View Commercial Finance Group, including CFO, COO, and President. He was the primary liaison and creator of investment securities and securitizations at Concord Growth Corporation. Matt has also worked in real estate syndication, venture capital, and medical products finance. He graduated summa cum laude from Brigham Young University with a Bachelor of Science degree in finance and is a graduate of Harvard Business School.

Glen Shu, Director

Glen Shu is Bay View Funding's President and Chief Executive Officer. He previously served as President of Bay View Funding from April 2009 and Chief Operating Officer from October 2007. Prior to that, Glen served as Executive Vice President since October 2004, and Senior Vice President of underwriting and operations for the factoring division of Bay View Commercial Finance Group, from February 1998 to June 2002. Mr. Shu's background includes experience in asset based lending, while serving in various marketing, underwriting, and portfolio management roles with KBK Financial and Concord Growth Corporation from 1992 to 1998. Mr. Shu began his financial services career with San Francisco Federal in 1989 and has spent over 20 years in the financial services industry. Mr. Shu is a graduate of San Jose State University and holds a Bachelor of Science degree in finance.

Howard Koeing, Director

Koenig currently serves as the Chairman of Clifcor Capital Group, a private investment holding company that invests primarily equity capital into closely held growth companies with sales volume from $3 to $100 million that operate in a defined market niche. Mr. Koenig has participated in a number of startup and turnaround opportunities and has been a significant investor in numerous ventures since 1980, including U.S. Tape, Plasti-Bag, Inc., Gundle Lining Systems, U.S. Netting, Inc., and American White Cross, Inc.

Scott Vertrees, Director

Scott brings 20 years of experience leading diverse businesses, setting strategic vision, building and motivating teams, expanding markets, and executing against business plans for startups, turnarounds, acquisitions and high-growth organizations. Scott has successfully developed business opportunities, introduced leading-edge technologies and pioneered strategic alliances and business partnerships in industries such as financial services, internet commerce, catalog retailing, consumer products, filtration technology, medical devices, high-tech and consumer services. As the president of Clifcor Capital and certain of its affiliates since 1988, Scott has managed both public and private ventures in numerous industries. Scott is also currently the President & CEO of Duvera Financial, a national purchaser and servicer of installment contracts, and serves on the board of Bay View Funding, a commercial factoring company. Scott has been a member of the Young President's Organization since 1996.
